Terms of service for the Property Provider

Through its website and mobile app (jointly, the "Delasto Platform"), DELASTO offers property owners ("Property Providers") the possibility to publish listings of their holiday homes, hotels, and accommodation units ("Properties") in order to provide last-minute booking services ("Services") to users of the Delasto Platform.

Registration on the Delasto Platform is free of charge. Access to and use of the Delasto Platform are offered to the Property Provider subject to acceptance, without modification, of all the terms and conditions set out below (jointly, the "Terms").

The Terms constitute a legally binding agreement between the Property Provider and DELASTO, governing the Property Provider's right to use the Delasto Platform to publish their listings. If the Property Provider does not accept these Terms, or even only one of the provisions contained in the Terms, the Property Provider may not access or use our platform.

By accessing and using the Delasto Platform, the Property Provider confirms that they have read, understood, and accepted these Terms, including the Privacy Policy and the Cookie Policy. DELASTO reserves the right to modify these Terms and the Privacy Policies at any time and at its sole discretion. Such updates may be necessary due to the introduction of new regulations, legislative changes, or technological developments affecting the provision of our Services or the use of our Platform. Any modification made will aim to ensure compliance with applicable laws and to maintain high security standards in the use of the features offered.

We recommend consulting the available Terms and Privacy Policies regularly, so as to remain constantly informed of any change that may affect the rights or the ways in which the DELASTO Platform may be used.

Platform use conditions

Access to and use of the Delasto Platform must take place exclusively in compliance with applicable laws and only for lawful and personal purposes. In order to use the Delasto Platform and the Services, the Property Provider must be at least 18 years old, in order to guarantee the safety and protection of minors.

Use of the Delasto Platform is granted on the condition that the Property Provider accepts and complies with the following.

The following are expressly prohibited:

use of the Delasto Platform for any improper or unlawful purpose, or to publish, share, or transmit any material that: (i) is unlawful, harmful, defamatory, offensive, or obscene; (ii) violates confidentiality, privacy, or the rights of any third party, including copyright, trademark, or any other intellectual property right; (iii) is published, shared, or transmitted for the purpose of advertising or promoting oneself or third parties outside the type of Services provided by the Delasto Platform;

copying, distributing, making public, selling, renting, lending, or otherwise using our Services or the Delasto Platform, or attempting to violate or circumvent the security measures in place to limit the user's access to or use of our services or our platform;

using or interfering with our Services or the Delasto Platform in a way that may damage, disable, overload, impair, or compromise our systems or our security or interfere with other Property Providers and/or users, or introducing or transmitting through our Services or the Delasto Platform any disruptive or harmful code, virus, worm, Trojan, or spam;

removing, modifying, or replacing any authorship notices, registered trademarks, trade names, logos, or other designations of origin present on our Services or our platform. These identifying elements are an integral part of our Services and of the Delasto Platform and attest to their legitimate ownership and origin. Furthermore, it is not permitted to present, pass off, or attempt to pass off our Services or our platform as products belonging to parties other than DELASTO;

using unauthorized automated software, a software agent, bot, spider, or other software or application that enables scanning, copying, indexing, sorting, or exploiting, or more generally damaging, the Services or the Delasto Platform or the data contained therein.

Property Provider

DELASTO grants the Property Provider the right to use its platform to publish and offer its own Properties through an offer ("Listing") addressed to users of the Delasto Platform ("CUSTOMERS") who book or use the Services.

The Property Provider must comply with the following rules:

use the DELASTO Platform only if authorized under these Terms;

(i) know and comply with every law, regulation, and rule relevant to the offered Service, (ii) obtain and renew the licenses, permits, certifications, authorizations, or registrations required before offering the Service; (iii) maintain, update, and preserve the documentation necessary to verify such licenses, permits, and registrations, (iv) provide proof of such compliance with the specific rules if requested by DELASTO. In case of loss of the above compliance, promptly inform DELASTO, and (v) ensure that the Listing does not violate other agreements in force with third parties;

maintain, during the use of the DELASTO Platform, diligent conduct in compliance with applicable laws. Any improper, fraudulent, or unlawful use may result in immediate suspension or termination of access to the Services, in addition to compensation for any damages suffered by DELASTO;

keep with the utmost care their password and access credentials for the Delasto Platform, taking all measures necessary to ensure confidentiality and security in order to prevent unauthorized access to their account and, consequently, to the Services and the Delasto Platform. If the Property Provider learns, or even only suspects, that the security of their access credentials may have been compromised, they are invited to notify this immediately by email to assistenza@delasto.com. This is to allow the adoption of measures aimed at protecting the account and the security of the platform;

if part of our Services or our platform is hosted on third-party websites, for example Facebook or other social media platforms, then in addition to the obligations arising from the use of the Services and the Delasto Platform, the Property Provider must also comply with the rules established by those third parties, where applicable, in order to ensure compliant and responsible use of those platforms.

When, through the DELASTO Platform, a booking request is confirmed, the Property Provider enters into an agreement directly with the Customer and is responsible:

for providing the Services according to the terms and at the price specified in the Listing;

for full compliance with laws, rules, regulations, and contracts with third parties applicable to the Services offered by the Provider, including by way of example and not limitation matters concerning owner and landlord, condominium rules, restrictions or prohibitions on subletting or short-term and/or long-term rental.

the Property Provider will be considered solely responsible towards the Customer and/or DELASTO for any legal action, claim, proceeding, cost, damage, loss, or expense (including legal fees) arising from violation of these Terms.

Creation of an account and a Listing

In order to use the Services of the Delasto Platform, the Property Provider must register by entering the following information:

first and last name

information about the Property

company name

billing details

email

registration password

mobile phone number of the Property Provider

payment details.

The Property Provider may publish its Listing and receive bookings only after confirmation of the profile by DELASTO through email notification.

The Property Provider may publish multiple Listings for a single Property that includes multiple "items" (for example multiple rooms, apartments, etc.).

It is up to the Property Provider to establish the selling price for each item consistently with market prices and prices present on other platforms / sales websites.

The Property Provider must necessarily indicate the maximum percentage discount applicable to the selling price offered to the Customer. The minimum discount percentage necessarily required by DELASTO in order to use its Services is 10% of the selling price; this is in line with the "last minute" philosophy proposed by DELASTO.

DELASTO will apply the above discount independently and according to its own algorithm, in compliance with the range indicated by the Property Provider.

Within the week visible for booking by the Customer, selling prices may be modified independently by the Property Provider only downward.

It is up to the Property Provider to establish availability, rules, and conditions of the Property and items for each Listing. The Listing must include complete, accurate, and truthful information on the Services offered by the Property Provider and on prices (including any additional and/or excluded costs), as well as on any rules or requirements applicable to Customers or to the Listing.

The Property Provider is responsible:

for always keeping information (including calendar availability), prices, images, conditions, cancellation policies, Property specifications, and other Listing information (jointly, the "Content") updated and accurate;

for the truthfulness of the Content relating to the Property contained in the Listing. The Property Provider declares and guarantees that the Content relating to the Property will always be true, accurate, and not misleading.

by providing the Content for the Listing - which may include its name, image, video, and audio or those of third parties - the Property Provider authorizes DELASTO to use this information to promote, market, or provide information about the Delasto Platform on any medium or platform and in particular on the Internet and social networks. If the name, image, or audio reproduction of third parties is present in the Content included in the Listing pages, the Property Provider declares and guarantees that it has obtained a release from all such third parties in compliance with applicable regulations

DELASTO does not own, control, offer, or manage any Listing of the Property Provider and is not a contracting party to contracts concluded directly between the Property Provider and the Customer.

The Delasto Platform hosts content exactly as directly published by Property Providers. DELASTO is in no way responsible for the accuracy, quality, completeness, reliability, or trustworthiness of the Content.

Bookings, cancellations, and refunds

The booking made by the Customer takes place with the selected Property Provider.

DELASTO merely makes available a platform that allows the display of proposals and communication between the parties, without participating in the contractual agreement established directly between the Customer and the Property Provider.

The Property Provider is solely responsible for the availability of the Property / items, the accuracy of the information provided, and the management of the services offered to customers. DELASTO is in no way responsible in the event of any issues relating to bookings.

In the event of booking cancellation or no-show, any refund will depend on the conditions established by the Property Provider, as will every other aspect related to booking confirmation, compliance with conditions, accuracy of details, quality of services, or anything else governed exclusively by the direct relationship between the Customer and the Property Provider.

Any complaints or claims for compensation concerning the Properties or any specific requests by Customers must be handled directly by the Property Provider. DELASTO is not responsible and disclaims all liability with respect to such complaints or claims for compensation.

Commissions and payments

The Property Provider accepts that DELASTO, for making its platform available, retains a commission on the amount paid by the Customer.

The commission percentage due to DELASTO is 12% of the final selling price to the Customer, applied to the taxable amount.

Expenses relating to the purchase transaction are borne by the Property Provider (as indicated by the terms and conditions of the payment service provider "Stripe").

DELASTO may modify this percentage on the basis of any specific conditions agreed between DELASTO and the Property Provider or on the basis of changes in market conditions. Such change will be communicated in advance to the Property Provider.

The Customer makes payment for the booking through the DELASTO Platform by credit card or other indicated methods. Once payment has been made, the amount due to the Property Provider will be credited directly to the bank account indicated by the Property Provider through a specific registration on the STRIPE Platform. To facilitate such registration, DELASTO will send a guided procedure and provide specific assistance if necessary. If the Property Provider does not complete the above registration, payment will be credited directly by DELASTO at a later time, deducting any additional commission/administration expenses.

The Property Provider is responsible for any taxes applicable to income generated through the DELASTO platform and guarantees compliance with all tax obligations required by applicable law. DELASTO is not responsible for failure by the Property Provider to fulfill tax obligations.

Privacy

The user acknowledges that the personal data submitted by the user to the Delasto Platform is used by DELASTO in compliance with and in accordance with data protection laws.

The user is obliged to provide accurate and up-to-date personal data so that we may use such information in accordance with these Terms and our Privacy Policy.

The Property Provider will receive and use Customers' information and personal data to manage bookings and provide the offered services. The Property Provider is directly responsible for the management and use of Customers' personal data and that of other parties, in compliance with applicable privacy laws and these Terms.

Intellectual property and prohibition of advertising

All intellectual property rights relating to the Services and the Delasto Platform remain the exclusive property of DELASTO, or are held by DELASTO under valid licenses. These rights include, by way of example and not limitation: copyright including rights relating to computer software, patents, registered trademarks, trade names, design rights, database rights, know-how, trade secrets, and any other right relating to the confidentiality of information.

Use of the Services and the Delasto Platform does not imply the acquisition by the user of any right, title, or interest in such intellectual property rights. the Service Provider shall not use, distribute, or modify any DELASTO trademark, text, image, video, document, or other content.

If the Property Provider copies or uses any part of the Delasto Platform in violation of these Terms, DELASTO will immediately block the Property Provider's access.

Limitations and exclusions of liability

DELASTO has no liability for:

any issues with a booking already made. Any refunds or remedial actions are the sole responsibility of the Property Provider and not of DELASTO;

(i) inaccuracies or omissions in content shown or found through its Services or the Delasto Platform, nor (ii) for losses, damages, accidents, or delays of any kind resulting from the use or inability to use its Services or the Delasto Platform;

any delay or failure resulting from causes beyond our reasonable control, including any non-performance due to unforeseen circumstances or beyond our control, such as by way of example: force majeure, war, terrorism, unrest, acts of civil or military authorities, fires, floods, accidents, strikes, epidemics, other natural disasters, shortage of transport, fuel, energy, labor, or materials, or lack of public or private telecommunications networks. In such cases DELASTO cannot be held liable for any service interruptions or loss of data.

These limitations apply regardless of the nature of the damage, whether direct, indirect, consequential, incidental, or special.

Termination

The Property Provider may terminate this agreement, for any reason and at any time, completely independently by removing all its Listings from the DELASTO Platform and its own account.

DELASTO may terminate any agreement with the Property Provider, at any time and at its sole discretion, by blocking access to the relevant account and/or removing any content uploaded by it to the Delasto Platform. In particular DELASTO may terminate this agreement if the Property Provider (i) materially breaches these Terms (ii) violates applicable laws, (iii) such action is necessary to protect the personal integrity or property of DELASTO or third parties).

Final provisions

DELASTO reserves the right to make changes to its services, including the addition or removal of features and functionality to improve, for example, or update our services, prevent abuse, or satisfy legal requirements.

These Terms represent the entire current agreement between DELASTO and the Property Provider.

The invalidity or unenforceability of any provision (in whole or in part) of these Terms does not affect the validity or enforceability of the remaining provisions (in whole or in part). Furthermore, our failure to enforce any of these Terms cannot be interpreted as a waiver, nor as a limitation on the right to enforce compliance with them in the future.

Unauthorized use of the Services or the Delasto Platform may cause irreparable damage to DELASTO and/or its affiliates, not compensable in money. In such cases, we reserve the right to immediately seek injunctive relief and other remedies provided by law.

These Terms are governed by Italian law. Any dispute relating to them is subject to the exclusive jurisdiction of the Court of Rome.
